End User License Agreement (EULA)

Effective Date: September 2025

This End User License Agreement (“Agreement”) governs your use of the PayPrompt software-as-a-service (“Service”). By accessing or using PayPrompt, you (“User”, “you”) agree to the terms of this Agreement.

1. Grant of License

PayPrompt grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes, subject to your compliance with this Agreement and all applicable laws.

2. Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Copy, resell, sublicense, or otherwise distribute the Service to third parties.
  • Use the Service for any unlawful or unauthorized purpose.
  • Interfere with or disrupt the Service or its underlying systems.

3. Ownership

All rights, title, and interest in and to PayPrompt (including software, content, trademarks, and intellectual property) remain with PayPrompt and its licensors. This Agreement does not transfer any ownership rights.

4. Integration with QuickBooks Online

PayPrompt allows you to connect your QuickBooks Online account to automate invoice reminders.

  • By using this integration, you authorize PayPrompt to access and process your QuickBooks data as needed to provide the Service.
  • PayPrompt is not developed or endorsed by Intuit Inc. QuickBooks is a registered trademark of Intuit Inc.
  • Intuit Inc. is not responsible for the operation, support, or results of PayPrompt. Any issues, support requests, or claims regarding PayPrompt should be directed to support@payprompt.me.

5. Termination

This Agreement is effective until terminated. We may terminate or suspend your access if you violate this Agreement or applicable law. Upon termination, your license to use PayPrompt will cease.

6. Disclaimer of Warranty

PayPrompt is provided “as is” and without warranty of any kind. We do not guarantee uninterrupted or error-free service.

7. Limitation of Liability

To the extent permitted by law, PayPrompt is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Service.

8. Changes

We may update this EULA from time to time. Continued use of the Service after changes means you accept the new terms.
